To submit your invention ideas to Hampton Direct, Inc., follow these easy steps:

 

  1. Login or register as an Inventor and agree to our Terms and Conditions.
  2. If you are a new user, activate your account through the confirmation email.
  3. Fill out the Inventor Submission Application.

 

Registered users are welcome to submit their inventions using our online Invention Submission Application. Please complete a separate Application for each invention / product idea you wish to submit.

 

For each online submission you submit you will receive a notification email verifying your invention idea has been submitted. You can expect to hear back from someone within 2-3 weeks.

Hampton Direct, Inc. is interested in evaluating your inventions and product ideas. In order to protect both your rights and the rights of Hampton Direct, it is required that you review and agree to the Inventor Submission Terms and Conditions before making a submission of an innovation to Hampton Direct.

 

Please note that by agreeing to these terms, you are not obligated to disclose to Hampton Direct any information. However any information you do disclose must be non-confidential. Additionally, submitting your idea to Hampton Direct does not restrict you from submitting it to other companies.

TERMS AND CONDITIONS

 

 

I am submitting to Hampton Direct, Inc. (together with its subsidiaries and affiliates, referred to as “HDI”) certain technologies, and/or other materials having to do with the development of new product or invention (collectively referred to as the “Submission”). I understand that HDI is in the business of researching, developing and marketing new ideas and inventions, and improvements for existing ideas and inventions. HDI is engaged in these activities every day, and considers hundreds of ideas from its own employees and from others. I understand that it is possible HDI has already seen an idea that is the same as or similar to mine. I also understand that it’s possible my Submission, or an idea similar to my Submission, is already known to others, or is in the public domain. Therefore, HDI does not receive unsolicited ideas under any circumstances or conditions, express or implied, that could create a confidential relationship or a contractual relationship between HDI and the idea submitter (“inventor”). In making this Submission, I agree to the conditions printed below and further agree that these conditions apply broadly to HDI.

Non-confidential Submission. Only non-confidential information is included in my Submission. HDI is not under any obligation to keep my Submission confidential. HDI may, at its discretion, disclose my Submission to its employees, its legal advisors and its consultants, for evaluation. All information disclosed to HDI in this Submission will be considered as non-confidential public information. Unless otherwise agreed in writing, and except as stated in these terms and conditions, inventor retains all rights in their Submission which are available under the patent, trademark and copyright laws of the United States, and these are the only rights the inventor retains with respect to their Submission.

 

Further Discussion. If HDI is interested in further discussions about my Submission, an HDI representative will contact me. All information disclosed by me in such further discussions will also be non-confidential. I understand that while not HDI’s usual practice, HDI will only receive and treat information as confidential if information is covered by a formal, written confidentiality agreement signed by me and an authorized representative of HDI prior to the time I disclose my confidential information to HDI.

 

Decision not to Pursue. HDI will not be obligated to provide me with any explanation as to why HDI may ultimately decide not to pursue my Submission. However, HDI at its sole discretion may nonetheless choose to provide some explanation. I agree that HDI will be under no liability whatsoever as to my use of such explanation, and agree to hold HDI harmless against any liabilities relating to or arising out of my use of such explanation.

 

IP Rights. I will rely solely on my intellectual property rights, such as any applicable patent, trademark, copyright and design registrations (collectively, “IP Rights”) to protect information included in my Submission. I understand that the protection I have for information included in my Submission is limited to the scope of my IP Rights. I understand that I must seek appropriate legal protection for my IP Rights (for example, filing a patent application, obtaining a trademark registration or filing for copyright protection with appropriate government offices) before disclosing my ideas to anyone (including HDI or any other party) on a non-confidential basis, or I may risk losing the ability to protect my ideas with IP Rights according to applicable law. I understand that I must identify those rights, specifically, and submit all associated patent numbers and/or application numbers, trademark registration numbers and/or application numbers and copyright registration numbers. By accepting my Submission, evaluating my idea, or communicating with me in any way, HDI does not make any admission to the patentability, originality, protectability, marketability or merit of my idea.

 

HDI Obligations. HDI is not obligated to adopt my Submission or to compensate me for such Submission. Alternatively, if interested, HDI may negotiate for license rights to my Submission.

 

No Grant of Rights to HDI. I am not granting HDI any commercial rights to my IP Rights by my Submission. However, I understand that any aspect of my Submission that is not protected by valid, enforceable IP Rights or a written, formal contract may be commercially used by any third party, including HDI.

 

No Return of Submission of Materials. Because of complications involved, HDI will not have any obligation to return any materials (including, for example, drawings, photos, and prototype models) included in the Submission. Be advised, however, that HDI regularly returns materials of each Submission. HDI is not responsible for any materials that may be lost or damaged during the review process or in attempts to return materials.

 

Representation of Age. I acknowledge that HDI will only receive submissions from persons 18 years or older. By agreeing to these terms and conditions, I represent that I am 18 years or older.

 

Representation of Ownership. I represent that to the best of my knowledge I am legally free to make this Submission and that I am either the owner of the submission or the authorized representative of the owner of the submission.

 

No Other Agreements. I understand and agree that there are no other agreements or understandings that apply to my Submission, that any prior agreements or understandings are superseded, and that no modifications or exceptions to these Terms and Conditions will apply unless agreed to by both HDI and I in a formal, written contract.

 

Applicable Law. The website from which this document was downloaded (“Website”), these terms and conditions, and any Submission made pursuant to the Website is governed by the substantive law of and is subject to the exclusive jurisdiction of the State of Vermont, USA, without regard to any principle of conflict or choice of laws that would cause the application of the laws of any other jurisdiction.

 

Subsequent Disclosures. Each of the above conditions applies to the materials included in my original Submission as well as to anything I may later disclose to HDI, orally or in writing, unless HDI and I have reached a prior written agreement signed by me and an authorized representative of HDI.
